These Terms and Conditions (“Terms”) govern your access to and use of the websitesmartsquare.in (the “Website”) and the real estate agency services provided bySmart Square Properties, a brand functioning under the registered business Truaxis Corporate Services(“Smart Square”, “we”, “our” or “us”), a real estate agent registered with theTamil Nadu Real Estate Regulatory Authority (TNRERA) under registration number TN/Agent/0280/2025.

By accessing the Website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. Nature of our services

• Smart Square acts as a real estate agent / intermediary facilitating the sale and purchase of plots, lands, villas, flats, apartments and commercial property in Chennai and nearby districts.
• We are not the developer, promoter, owner or seller of the properties listed unless expressly stated. The contract of sale is between you and the seller/promoter.
• Our role is limited to introducing properties, arranging site visits, sharing information provided by sellers and assisting with the transaction process. We do not guarantee the completion of any transaction.

2. Property information

• All property details on the Website – including prices, dimensions, availability, approvals, amenities, possession dates, images, floor plans and layout plans – are indicative and based on information provided by sellers, promoters or public records at the time of publication.
• Prices are subject to change without notice and exclude registration charges, stamp duty, GST (where applicable), legal fees, maintenance deposits and other statutory charges unless stated otherwise.
• Images may be representative, computer-generated or stock photographs and may not depict the actual property.
• You must independently verify all information – including title, approvals, encumbrances and RERA registration – before making any payment or signing any document. We encourage you to obtain an independent legal opinion.

3. Site visits

Site visits are arranged for your convenience. You participate at your own risk and agree to follow safety instructions at construction sites and open lands. Smart Square is not liable for any injury, loss or damage suffered during site visits except where caused by our gross negligence.

4. Fees and brokerage

• For new projects and layouts, our fee is generally paid by the developer/promoter and no brokerage is charged to the buyer unless disclosed in advance.
• For resale transactions, brokerage (typically 1–2% of the agreed consideration plus applicable GST) is payable by the party we represent, as agreed in writing before the transaction.
• Brokerage becomes payable on execution of the sale agreement or sale deed, whichever is earlier, unless otherwise agreed.
• Third-party costs (legal opinion, survey, loan processing, stamp duty, registration) are payable by you directly or at actuals.

5. Non-circumvention

Where Smart Square introduces a property or buyer to you, you agree not to bypass us and deal directly with the other party for that property within 12 months of the introduction in order to avoid our fee. If you do, the agreed brokerage will remain payable.

6. Payments

All payments towards property consideration must be made directly to the seller/promoter through banking channels against proper receipts. Smart Square does not accept cash payments towards property consideration. Any amount paid to Smart Square towards our fee will be acknowledged by an invoice.

7. Use of the Website

• You agree to use the Website only for lawful purposes and not to scrape, copy, reproduce or redistribute content without written permission.
• You must provide accurate information in enquiry forms. We may refuse service for false or misleading information.
• We may suspend or modify the Website at any time without notice.

8. Intellectual property

The Smart Square name, logo, Website design, text and original graphics are our property. Third-party trademarks, project names and images belong to their respective owners and are used for identification only.

9. Communications

By submitting an enquiry you consent to being contacted by Smart Square via phone, SMS, email and WhatsApp regarding your requirement, notwithstanding registration on the DND/NCPR registry. You may opt out at any time by writing toinfo@smartsquare.in.

10. Limitation of liability

To the maximum extent permitted by law, Smart Square shall not be liable for any indirect, incidental, consequential or special loss, or for any loss arising from reliance on information provided on the Website or by sellers, delays in project completion, changes in approvals, title defects, or acts and omissions of third parties. Our aggregate liability in connection with any transaction shall not exceed the brokerage actually received by us for that transaction.

11. Indemnity

You agree to indemnify Smart Square against claims, losses and expenses arising from your breach of these Terms, misuse of the Website or violation of any law.

12. RERA compliance

Smart Square is registered under the Real Estate (Regulation and Development) Act, 2016. We facilitate sales only in projects that are RERA-registered where such registration is required, and we endeavour to provide accurate information in line with Section 10 of the Act. Complaints relating to our conduct as an agent may be raised with us first, and thereafter with TNRERA at https://rera.tn.gov.in.

13. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to the jurisdiction of TNRERA and other statutory forums, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over any dispute.

14. Changes to these Terms

We may revise these Terms at any time by updating this page. Your continued use of the Website after changes constitutes acceptance.
